1. Guarantee Overview

The Company guarantees that its AI vending machine will achieve a minimum 10% increase in vending-related revenue compared to the Client’s previous vending machine at the same location. If this threshold is not met, the Client may be eligible to receive a one-time payment of $10,000, subject to the terms outlined below.

2. Eligibility Requirements

This guarantee is valid only if ALL of the following conditions are met:

• The Company’s machine replaces an existing coil-style vending machine at the same location

• The location maintains a minimum average of 100 individuals per day

• The machine remains installed, powered, and fully operational for at least twelve (12) consecutive months

• must be in contract for at least 24 months 

• The Client provides a minimum of twelve (12) months of verifiable revenue reports and documentation from the previous machine

3. Client Responsibilities

The Client agrees to:

• Provide full access for installation, maintenance, and restocking

• Allow use of required floor space and standard electrical power at all times

• Maintain the machine in a visible, high-traffic, and accessible location comparable to or better than the prior machine

• Ensure the machine remains powered and accessible during normal business hours

• Not interfere with, restrict, or tamper with the machine’s operation

4. Operational Control

The Company retains full and exclusive control over:

• Product pricing

• Product selection and inventory

• Merchandising, placement, and layout inside the machine

• Restocking schedules and service frequency

5. Exclusivity

The Client agrees that no competing vending machines or similar retail solutions will be installed within the immediate vicinity of the Company’s machine during the guarantee period.

6. Performance Measurement

• Revenue is defined as gross sales generated by the Company’s machine

• Performance will be compared against the 12-month historical average of the prior machine

• The Company reserves the right to normalize historical data to account for seasonality, anomalies, or irregular operating conditions

• The Company’s system data shall serve as the primary source of performance tracking

7. Audit & Verification Rights

The Company reserves the right to review, audit, and verify all historical revenue documentation provided by the Client. Any inaccurate, incomplete, or unverifiable data will void the guarantee.

8. Claim Eligibility & Process

• Claims may only be submitted after the full 12 month operational period

• The Company will review all performance data and documentation

• If the required 10% increase is not achieved and all conditions are satisfied, the claim will be approved

9. Payout Terms

Upon approval, the Company will issue a one-time payment of $10,000 within a reasonable processing timeframe. This guarantee is limited to one (1) claim.

10. Disqualifications

This guarantee shall be void if:

• The machine is removed, relocated, unplugged, or rendered inoperable during the 12-month period

• The Client terminates service before completion of the 8-month term

• The location undergoes material changes, including but not limited to reduced hours, closures, renovations, or significant decline in foot traffic

• Machine does not have a placement contract for at least 2 years 

• The Client restricts access, power, servicing, or proper operation

• Competing machines are introduced in the vicinity

• Accurate and complete 12-month historical revenue data is not provided

11. Force Majeure

The Company shall not be held liable for failure to meet performance targets due to events beyond its reasonable control, including but not limited to natural disasters, government actions, labor disruptions, supply chain issues, or other unforeseen circumstances.
